In brief

  • Gaming Corps said all shares in its first directed issue were subscribed and allocated.
  • The issue raised about SEK36.8m before costs and set-off, at SEK0.65 per share.
  • It adds 56,564,703 new shares, with estimated dilution of about 28%.
  • A meeting on 2 November 2026 will consider further directed issues.

Gaming Corps AB (publ) said all shares in its first directed share issue were subscribed and that the board has resolved to allocate all of them. The issue was announced on 13 October 2026 and raised approximately SEK36.8m before issue costs and set-off, according to the company.

The subscription price in the first issue was SEK0.65 per share. The shares were allocated to external professional investors and existing long-term shareholders, including Denwena Limited, Redén Trotting AB and Svea Bank AB, which the board said had shown long-term interest in the company.

The issue adds 56,564,703 new shares and increases the company's share capital by SEK2,828,235.168. Gaming Corps estimated dilution for existing shareholders at about 28% of the total number of shares after the issue.

The board said that where subscription is made through set-off of claims, this strengthens the company's financial position by reducing debt and improving the balance sheet. The board acted under an authorisation from the annual general meeting on 29 June 2026.

An extraordinary general meeting on 2 November 2026 is due to decide on two further directed share issues: one to those in the so-called Leo circle, proposed by shareholders holding about 30% of the shares and votes, and one to Svea Bank AB proposed by the board. The notice of the meeting has been published on the company's website.

Nordicap Corporate Finance AB is financial adviser, Advokatfirman Lindahl KB is legal adviser and Aqurat Fondkommission AB is issuing agent for the share issues.
