Cirsa’s proposed merger with Lottomatica would give shareholders who vote against the deal and elect to sell €13.20 per share, subject to the transaction receiving the required approvals and meeting its conditions. Shareholders would have 20 calendar days after the extraordinary meeting to notify Cirsa; the amount would be reduced by qualifying dividends received before payment. The mechanism is conditional on affected shares not exceeding 5% of Cirsa’s issued and outstanding shares at the meeting.
