Spain's CNMC has authorised Ohmnia Electronics' acquisition of exclusive control of Azkoyen, a company listed on the Madrid and Bilbao stock exchanges, in a public takeover offer valued at approximately €244.5m, according to the regulator's September merger review published on 22 October. The CNMC said it approved the transaction without conditions.
The CNMC described Ohmnia as an industrial and technology group specialising in the design and manufacture of electromechanical solutions for original equipment manufacturers (OEMs) in various technology sectors. It identified Azkoyen as the parent of an industrial group specialising in coffee and vending machines, automated payment systems and security solutions.
The regulator concluded that the concentration does not threaten competition in the markets analysed, stating that there is no horizontal or vertical overlap in those markets. The transaction was one of 10 concentrations approved by the CNMC during September, all resolved in the first phase.
The report noted Azkoyen's history in payment systems and technology for automatic machines, and its historical link to the gambling industry. The source did not include statements from Ohmnia or Azkoyen, or any appeal status.
