CIRSA has called an extraordinary general meeting of shareholders for 30 November 2026 at 11:30 at the Hotel Eurostars Don Cándido in Terrassa, according to a communication sent to the Comisión Nacional del Mercado de Valores on 28 October. The meeting will vote on the cross-border merger by absorption of CIRSA by Lottomatica, under the joint project signed by the two companies on 8 October.
Under the proposal, Lottomatica would become the absorbing company and CIRSA shareholders would receive 0.668 new Lottomatica shares for each CIRSA share. The meeting will also vote on an extraordinary dividend of €1.56 per share charged to the share premium, a distribution of about €262m. The board will additionally seek authorisation for additional cash distributions of up to €100m over one year, and for the corporate and financial transactions needed to complete the integration.
The date is five days later than the 25 November initially planned, because of procedures for publishing the legal documentation in the Boletín Oficial del Registro Mercantil. The board of directors has recommended voting in favour of all the proposals. Subject to regulatory authorisations and outstanding conditions, the integration is planned for the second quarter of 2027. A second meeting is scheduled for 1 December if the required quorum is not reached at the first.
