Allwyn and OPAP amend merger terms to replace preference shares with ordinary shares
Allwyn and OPAP amended their proposed business-combination terms so Allwyn would receive ordinary shares in OPAP for contributing its assets and liabilities, rather than preference shares with enhanced voting rights. They said investor feedback prompted the change; Allwyn’s expected economic interest remains 78.5%, while KKCG’s voting interest would fall from 85.0% to 75.1%. OPAP shareholders are due to vote on the proposal on 7 January 2026.
The revised share structure changes voting rights while leaving Allwyn’s stated economic interest unchanged ahead of the shareholder vote.
