The Press Association agrees A$49.8m deal to acquire RAS Technology

The Press Association has entered a binding implementation agreement to acquire Australia's RAS Technology Holdings, owner of Racing and Sports, through a court-approved scheme of arrangement. RAS shareholders would receive A$1.04 per share, a 93% premium to the last close of $0.54, implying an undiluted equity value of A$49.8m and an enterprise value of A$45.6m. The RAS board unanimously recommended the scheme, subject to an independent expert finding it in shareholders' best interests and no superior proposal.
